    Am I correct here:

All the loop is is a piece of thread or yarn knotted on the outside of one piece(top layer) of nylon, run down thru the insulation, thru the other piece (bottom) of nylon, then back up thru the insulation, thru the top nylon and knotted?

Yep, you got it. The KAQ instructions has a good pictorial on quilting loops.

Next, create a bottom sandwich just like the top. The only difference would be pinching/sewing offset from where I sewed thru(pinched) on the top sandwich. This would prevent lining up the pinches of the top and bottom sandwiches. Then, I would sew the top and bottom sandwiches together along the edges.
Isn't that what the sleeping bag manufacturers call "offset baffles" that are used so that cold spots are'nt created?

Not quite, the quilting loops are for continuous filament insulation like Climashield. The loops prevent shear forces from tearing the batts. Ray Jardine says that the insulation will eventually tear from hard use, leaving cold spots. I believe the offset baffles were for shingles of smaller batts

I didn't mean the quilting loops.

I was referring to the baffles. I think he is sewing it so that the baffles or tubes of insulation, are offset from one another. That is what I always thought the bag makers called offset baffles.

Yes, that's what I meant. I wasn't trying to break new ground here, just an idea. Since I've found out how easy(it appears) to do loops I'm going to do a basic overquilt with loops using Climashield. That'll be months from now though since it's getting warm now.
